These Terms of Service ("Terms") are a binding agreement between Rhycon, Corp., a Delaware corporation ("Rhycon", "we", "our", or "us"), and the person or organization that accesses or uses the Rhycon websites, applications, AI agents, outreach tools, and related services (collectively, the "Service"). If you use the Service for an organization, "you" and "Customer" mean that organization.
By creating an account, purchasing a plan, connecting a third-party account, enabling an automated mode, or otherwise using the Service, you agree to these Terms, our Privacy Policy, and our Email Outreach & Anti-Spam Policy. If you do not agree, do not use the Service.
1. Eligibility and authority
You must be at least 18 years old and legally able to enter into this agreement. The Service is intended for business use. If you use it for a company or other organization, you represent that you have authority to bind that organization and to give the instructions, permissions, and authorizations described in these Terms.
2. The Service
Rhycon is an AI-powered business-to-business sales outreach and appointment-setting platform. Depending on your plan, configuration, and connected services, the Service may:
- accept prospect lists and Customer Content from uploads, connected CRM systems, and Customer instructions;
- search public sources and business-data providers to discover, verify, enrich, rank, and segment professional contacts and companies;
- generate, personalize, schedule, send, and monitor email and LinkedIn outreach and follow-up messages;
- receive, classify, summarize, draft, or send replies and apply suppression and safety decisions;
- store customer-provided sales materials and, when expressly activated in the Service, attach a relevant material to an email reply after the recipient asks for more information;
- connect with and synchronize selected Gmail, Outlook, LinkedIn, HubSpot, Google Calendar, Microsoft Calendar, and other supported accounts;
- check availability, create or update meetings, manage invitations and RSVPs, and send reminders or operational alerts;
- provision or administer requested domains, DNS configuration, mailboxes, sender profiles, warm-up, and deliverability monitoring;
- validate and safety-scan supported customer files and analyze configured business context and campaign results; and
- provide campaign controls, analytics, billing, support, and workspace administration.
Features may be manual, approval-based, or autonomous, as shown in the Service. The particular vendors and connected services used for a feature are described in our Privacy Policy and may depend on availability and Customer configuration.
We may add, change, suspend, or discontinue features. Preview, beta, or experimental features may be less reliable and may change without notice. We do not promise any particular number of leads, replies, meetings, sales, revenue, deliverability result, platform acceptance rate, or other commercial outcome.
3. Accounts, workspaces, and security
- You must provide accurate account and billing information and keep it current.
- You are responsible for your credentials, authorized workspace members, permissions, settings, and all activity under your account.
- You may connect only accounts, domains, calendars, mailboxes, data, and profiles that you own or are authorized to use for the Customer.
- You must promptly notify us at sales@rhycon.ai if you suspect unauthorized access or misuse.
4. Customer instructions and responsibility
You choose the target audience, source data, connected sender identities, message settings, autonomy level, and campaign instructions. You are responsible for reviewing those choices and for the legality, accuracy, and appropriateness of Customer Content and communications sent at your direction. Rhycon's filters, suppression controls, pacing, verification, safety checks, and AI review tools assist you; they do not replace your legal obligations or professional judgment.
You represent that you have all rights, notices, permissions, consents, and lawful bases needed for Rhycon to process Customer Content and prospect data and to act on your instructions. You remain responsible for your products, offers, claims, recipients, campaigns, and responses to data-subject or recipient requests.
Uploading a sales material stores it in an inactive state. If you activate it through the separate confirmation and checkbox, you instruct and authorize Rhycon to attach that exact file through your connected email account when a recipient asks for more information and the Service determines, from the conversation and your description of the file, that it is relevant to the reply. The Service will not mention or attach the file in cold outreach. In an autonomous mode, this instruction applies without separate approval for each eligible reply until you turn the material off or delete it. You represent that you have the rights and authority to provide and distribute the material for this purpose. Turning the material off stops future replies that have not started processing, but cannot recall a copy already delivered to a recipient.
5. Connected services
The Service may connect to services operated by others, including Google, Microsoft, LinkedIn, Unipile, Stripe, and calendar or email providers. By connecting an account, you instruct and authorize Rhycon and its service providers to access, receive, use, and transmit the account data and perform the actions you enable, solely to provide the Service. A provider's own terms, privacy notices, technical limits, and enforcement decisions also apply to your use of that provider.
Third-party services are outside Rhycon's control. They may change or withdraw access, reject an action, require reauthentication, restrict or suspend an account, or stop interoperating with the Service. Rhycon is not responsible for a third-party service, its availability, or an action it takes against your account. You may disconnect a connected account through the Service where that control is available.
You appoint Rhycon as your limited technical representative solely to complete the provider actions you request through the Service, such as registering or configuring domains, applying DNS records, creating or maintaining mailboxes and sender profiles, connecting accounts, and submitting ownership or configuration information that a provider reasonably requires. This authority does not permit Rhycon to bind you to an unrelated obligation or incur charges for you beyond the Service, usage, and provider charges disclosed in your order or configuration. You will provide any additional authorization reasonably required to complete an action you requested.
6. LinkedIn features and automation risk
Rhycon is not LinkedIn, is not affiliated with or endorsed by LinkedIn, and does not grant you any rights to use LinkedIn. LinkedIn is a third-party service governed by LinkedIn's User Agreement and Professional Community Policies.
If you connect LinkedIn through Rhycon's hosted connection provider, you authorize Rhycon and that provider to maintain the connection, resolve professional profiles, observe connection and message events, send connection requests, send messages after acceptance, process replies in conversations attributable to Rhycon-initiated outreach, and draft or send follow-up messages using the mode you select. Rhycon does not request or store your LinkedIn password; credential entry and any challenge flow are handled by the hosted connection provider.
In Manual mode, Rhycon prepares content and you perform the LinkedIn action yourself. In Autonomous mode, you expressly instruct Rhycon to perform eligible LinkedIn actions from the connected account without reviewing each action individually, subject to the settings, pacing, consent gates, and safety controls in the Service. You may switch modes or disconnect the account to stop future automated activity.
LinkedIn controls access to its service and publishes restrictions on unauthorized third-party automation, including automation of connection requests and messages. You may enable a LinkedIn feature only where your use is authorized and consistent with the terms and limits that apply to your account. LinkedIn may reject an action, reduce functionality, warn, restrict, or suspend an account. Rhycon cannot promise continued provider access or acceptance of any action.
7. Email outreach and communications compliance
You must comply with all laws and rules that apply to your communications and data use, which may include CAN-SPAM, state privacy laws, GDPR, UK GDPR, PECR, ePrivacy rules, CASL, telemarketing rules, and mailbox-provider policies. Requirements vary by sender, recipient, message, and jurisdiction, and you are responsible for determining what applies to you.
- Use truthful sender identities, subjects, company information, and claims.
- Clearly identify commercial or advertising content where required and include a valid physical postal address in each commercial email.
- Provide a clear, conspicuous, and working way to opt out of future commercial messages at no charge.
- Send only targeted, professionally relevant business outreach and never unsolicited bulk messages.
- Provide any legally required privacy notice at or before the required time and maintain a documented lawful basis, consent, or other permission.
- Do not contact a person who has opted out, and honor opt-out requests within 10 business days or any shorter period required by applicable law.
- Do not upload or use unlawfully obtained, deceptive, discriminatory, or sensitive targeting data.
Our incorporated Email Outreach & Anti-Spam Policy contains additional mandatory rules and explains the platform's unsubscribe controls and limitations.
8. Acceptable use
You may not use or assist anyone to use the Service to:
- violate a law, regulation, court order, contractual restriction, third-party right, or applicable provider policy;
- send spam, phishing, malware, scams, harassment, threats, unlawful discrimination, or deceptive or misleading content;
- impersonate another person, misrepresent authority or affiliation, or use an account without the owner's permission;
- circumvent an opt-out, suppression record, security control, access limit, pacing limit, or account restriction;
- probe, disrupt, overload, reverse engineer, copy, resell, or gain unauthorized access to the Service;
- sell, license, publish, or provide contact data or research supplied through the Service to a third party except for your own authorized business outreach and CRM operations;
- use the Service for consumer credit, employment, housing, insurance, health, or other high-impact eligibility decisions; or
- use output or data in a way that infringes privacy, publicity, intellectual-property, or other rights.
The Service is not designed to store protected health information, consumer financial-account data, government identification numbers, precise biometric identifiers, or other sensitive or special-category personal data. You must not submit that data unless Rhycon has expressly agreed in writing that a specific feature and data agreement support it. The Service is not offered as a HIPAA-, GLBA-, or FISMA-compliant system.
We may investigate suspected misuse and suspend sending, connected accounts, campaigns, or access to protect recipients, providers, Rhycon, or others. We may cooperate with providers, abuse desks, and lawful authorities.
9. AI-generated output and autonomous actions
AI output may be inaccurate, incomplete, delayed, biased, unsuitable, or similar to content generated for others. You must review output where the Service presents it for approval and use reasonable oversight for your configuration. When you select an autonomous mode, you authorize the Service to rely on your saved settings and Customer Content and to take eligible actions without per-action approval. Safety controls reduce risk but cannot eliminate errors, provider failures, duplicate or delayed events, or unintended communications.
Do not use the Service as a substitute for legal, financial, medical, employment, or other professional advice, and do not submit secrets or sensitive personal information unless necessary, authorized, and supported by the Service.
10. Customer Content, data, and privacy
As between you and Rhycon, you retain ownership of Customer Content. You grant Rhycon and its subprocessors a worldwide, non-exclusive, limited license to host, copy, process, transmit, display, and otherwise use Customer Content to provide, secure, support, and improve the Service, comply with law, and enforce these Terms. This license lasts only as long as needed for those purposes, subject to legal retention requirements and backups.
Our Privacy Policy explains how we handle personal data, connected-account data, and service-provider disclosures. When Rhycon processes Customer Personal Data as your processor or service provider, our Data Processing Addendum applies and is incorporated into these Terms. You authorize us to use aggregated or de-identified information that cannot reasonably identify you or a person to operate, analyze, and improve the Service.
11. Rhycon technology and feedback
Rhycon and its licensors own the Service, software, workflows, designs, documentation, models, prompts, and all related intellectual-property rights, excluding Customer Content. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service during your paid or authorized access period. If you provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation, provided we do not identify you publicly without permission.
Neither party may use the other party's name, logo, trademarks, or endorsement in public marketing, a case study, or a press release without prior written approval. Approval may be withdrawn for future use on reasonable written notice, but this does not require recall of materials already lawfully distributed.
12. Fees, subscriptions, and taxes
Prices, usage allowances, billing periods, and plan-specific terms are shown at purchase or in an order. Unless an order says otherwise, subscriptions renew automatically for the same period until canceled, charges are billed in advance through Stripe, and fees are non-refundable except where required by law. You authorize recurring charges and must keep a valid payment method on file. You are responsible for applicable taxes, excluding taxes on Rhycon's income.
We may change prices or plan features prospectively and will provide notice when required. Nonpayment, chargeback, payment dispute, or an expired payment method may result in paused campaigns, restricted access, or suspension.
13. Confidentiality
Each party may receive non-public information identified as confidential or that reasonably should be understood as confidential. The receiving party will use it only to perform under these Terms, protect it with reasonable care, and disclose it only to people and service providers who need it and are bound to protect it. This does not cover information lawfully known without restriction, independently developed, rightfully received from another source, or made public without breach. A party may disclose information when legally required after giving notice where permitted.
14. Suspension, cancellation, and termination
You may stop using the Service or request cancellation through your account or as stated in an order. For a connected-account plan, where you connect accounts that you own or control, you may cancel at any time before the renewal. For a managed-infrastructure plan, where Rhycon provisions or manages domains, mailboxes, or similar sending infrastructure for you, your cancellation request must be submitted at least seven calendar days before the renewal date to prevent that renewal. The applicable renewal date and, for managed infrastructure, the cancellation deadline are shown in your account.
A managed-infrastructure cancellation request submitted after its deadline will not stop the imminent renewal. You may submit a later request to stop a later renewal, subject to the same deadline, or contact sales@rhycon.ai for assistance. An accepted cancellation takes effect at the end of the then-current paid billing period: access continues until that time, no further renewal is charged, and Rhycon-managed infrastructure is decommissioned after access ends. Cancellation does not retroactively refund charges or erase amounts already due. A written order may state different cancellation terms, and rights that cannot lawfully be limited remain unaffected.
We may suspend or terminate access for a material breach, unlawful or harmful use, provider or security risk, nonpayment, or where continuing the Service could expose Rhycon or others to liability or harm. Where practical, we will provide notice and an opportunity to cure.
On termination, your right to use the Service ends and connected workflows may be stopped or disconnected. Terms that by their nature should survive will survive, including payment obligations, ownership, confidentiality, disclaimers, liability limits, indemnity, and dispute provisions.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". RHYCON DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, THAT OUTPUT OR DATA WILL BE ACCURATE, OR THAT A THIRD-PARTY PROVIDER WILL ACCEPT, DELIVER, OR CONTINUE TO SUPPORT AN ACTION.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, OR COST OF REPLACEMENT SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
EXCEPT FOR YOUR PAYMENT OBLIGATIONS, YOUR BREACH OF SECTIONS 4, 7, OR 8, OR EITHER PARTY'S FRAUD, WILLFUL MISCONDUCT, INFRINGEMENT, OR LIABILITY THAT CANNOT LEGALLY BE LIMITED, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID RHYCON FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
17. Indemnification
You will defend, indemnify, and hold harmless Rhycon, its affiliates, and their personnel from third-party claims, damages, penalties, and reasonable costs (including attorneys' fees) arising from Customer Content, your campaigns or communications, your violation of law or third-party terms, your use of a connected account, or your breach of these Terms. Rhycon will give prompt notice and reasonable cooperation, and you may not settle a claim in a way that admits fault by or imposes obligations on Rhycon without our written consent.
18. Governing law and courts
These Terms and any dispute arising from them or the Service are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there. Nothing in these Terms prevents either party from seeking urgent injunctive relief in a court with jurisdiction. Mandatory consumer rights that cannot be waived remain unaffected.
19. Changes to these Terms
We may update these Terms. We will post the revised version and update the date above. If a change is material, we will provide reasonable notice through the Service, by email, or by another appropriate method. Changes apply prospectively from their effective date. If you do not agree to a change, you must stop using the affected Service before it takes effect.
20. General terms
Neither party may assign these Terms without the other's consent, except that Rhycon may assign them in connection with a merger, reorganization, sale of assets, or to an affiliate. Neither party is liable for delay caused by events beyond its reasonable control. These Terms, incorporated policies, and any order are the entire agreement about the Service and replace prior discussions on that subject. If there is a conflict, an executed order controls over these Terms, and these Terms control over an incorporated policy. Failure to enforce a term is not a waiver. If a term is unenforceable, it will be limited to the minimum extent necessary and the rest remains effective. The parties are independent contractors, and these Terms create no partnership, agency, employment, franchise, or third-party beneficiary relationship.
You consent to electronic records, signatures, notices, disclosures, and transactions relating to the Service. Communications delivered to the email address associated with your account, displayed in the Service, or posted to the applicable legal page satisfy a writing requirement to the extent permitted by law. You are responsible for keeping your account contact information current.
